Terms of Service

Welcome to SugarBest (the "Platform"), owned and operated by Singularity Ventures LLC, a limited liability company organized under the laws of Saint Kitts and Nevis ("Company", "we", "our", or "us").

By creating an account, accessing, or otherwise using the Platform, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not accept these Terms in their entirety, you must not access or use the Platform.

1. Nature of the Platform

SugarBest operates as a social networking and introductions platform for consenting adults. The Platform facilitates connections and communication between individuals. SugarBest does not promote, arrange, or facilitate escort services, sexual services, or any form of paid companionship, and strictly prohibits any solicitation or offer of such services through the Platform.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction if greater, to register for and use the Platform. By registering, you represent and warrant that you meet these age requirements and possess the legal capacity to enter into a binding agreement. We reserve the right to request proof of age at any time and to terminate accounts that do not meet eligibility requirements.

3. Account Registration and Security

You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized account access.

4. User Conduct

You agree not to:

• Violate any applicable local, national, or international law or regulation;
• Solicit, offer, or arrange illegal services or activities of any kind;
• Post sexually explicit, obscene, or pornographic material;
• Impersonate any person or entity, or misrepresent your identity, age, or affiliation;
• Upload content that is defamatory, harassing, threatening, hateful, or that infringes upon the rights of others;
• Engage in spamming, phishing, or the distribution of malware;
• Attempt to gain unauthorized access to any portion of the Platform or its systems;
• Use automated scripts, bots, or scraping tools to access the Platform;
• Interfere with or disrupt the operation of the Platform.

We reserve the sole and absolute right to suspend, restrict, or permanently terminate any account that violates these Terms, without prior notice and without liability.

5. User Content License

By uploading, posting, or otherwise submitting any content to the Platform — including but not limited to photographs, profile information, biographical text, messages, and any other materials ("User Content") — you grant Singularity Ventures LLC and its affiliates a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to:

• Use, reproduce, modify, adapt, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content;
• Incorporate your User Content into other works in any format, medium, or technology now known or hereafter developed;
• Make your User Content available to the general public, including through publicly accessible pages, search engine indexing, social media, promotional materials, and third-party platforms;
• Use your User Content for commercial purposes including advertising, marketing, and promotional campaigns for the Platform.

You acknowledge and agree that your profile information, photographs, and other User Content designated as "public" may be visible to non-registered visitors, indexed by search engines (such as Google, Bing, and others), and displayed on publicly accessible portions of the Platform without requiring the viewer to hold an account.

You represent and warrant that you own all rights to the User Content you submit, or that you have obtained all necessary permissions and releases, and that your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

You may request deletion of your User Content by contacting us; however, you acknowledge that cached, archived, or previously distributed copies may persist beyond deletion and that the license granted herein survives account termination.

6. Data Collection, Use, and Sharing

By using the Platform, you consent to our collection, storage, processing, and use of your personal data as described in our Privacy Policy. This includes:

• Collection and storage of personal, behavioral, technical, and usage data;
• Use of your data for service provision, analytics, personalization, security, advertising, research, and commercial purposes;
• Sharing of data with our affiliates, subsidiaries, service providers, business partners, and law enforcement agencies where legally required;
• Cross-border transfer of data to jurisdictions that may have different data protection standards than your country of residence.

7. Intellectual Property

All Platform content, design, graphics, trademarks, logos, software, and technology — excluding User Content — are the exclusive property of Singularity Ventures LLC or its licensors and are protected by applicable intellectual property laws. No license or right is granted to you by implication or otherwise except as expressly set forth in these Terms.

8. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Platform will be uninterrupted, error-free, or secure, nor do we make any representations regarding the accuracy or reliability of any content posted by Users.

To the maximum extent permitted by applicable law, Singularity Ventures LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Platform, any interactions with other Users, or any User Content.

We do not conduct criminal background checks on Users and make no representations regarding the character, intentions, or trustworthiness of any User. You interact with other Users at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless Singularity Ventures LLC, its officers, directors, affiliates, partners, employees, and agents from and against all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of the Platform;
• Your User Content;
• Your breach of these Terms;
• Your violation of any applicable law or the rights of any third party.

10. Termination

We may suspend, restrict, or terminate your access to the Platform at our sole discretion, at any time, for any reason or no reason, with or without prior notice. Upon termination, the license granted to us with respect to your User Content, the indemnification obligations, the limitation of liability, and the dispute resolution provisions shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federation of Saint Kitts and Nevis, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Platform shall be submitted exclusively to the competent courts of Charlestown, Nevis. You irrevocably waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Platform following any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
